1. Acceptance of Terms

By accessing or using IP-IQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and Iconic Arts Ltd. ("Iconic Arts", "we", "us", or "our").

2. Description of Service

IP-IQ is an online platform that allows users to upload creative or business assets, such as images, videos, PDFs, decks, manuscripts, and other files, and to receive AI-generated analysis, metadata extraction, and decision intelligence reports based on the asset and the goal the user provides. The Service is provided on an "as is" and "as available" basis.

3. Eligibility and Accounts

You must be at least 18 years old or have legal capacity to enter into these Terms in your jurisdiction. When you create an account, you must provide accurate and complete information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Subscriptions and Free Analysis

New accounts approved for Creator access receive 1 complete asset analysis at no cost, with no expiration date. After that free analysis, continued access to paid features requires a subscription to the Creator or Enterprise tier. All fees are non-refundable unless otherwise required by law. We may modify pricing with notice to you.

5. User Content and License

You retain all ownership rights in the assets and information you upload ("User Content"). By uploading User Content, you grant us a limited license to use, process, analyze, and store it solely to operate, maintain, and improve the Service for you. We do not claim ownership of your User Content and will not use it to train general AI models without your consent.

6. Acceptable Use

You agree not to use the Service to upload, process, or distribute unlawful, infringing, defamatory, obscene, harmful, or otherwise objectionable content. You may not reverse engineer, scrape, abuse APIs, interfere with the Service, or attempt to access data belonging to other users. We may suspend or terminate accounts that violate these rules.

7. Confidentiality and Security

We implement reasonable administrative, technical, and physical safeguards to protect User Content. Enterprise accounts may be offered additional security, data ownership, and deployment options. You are responsible for maintaining the confidentiality of your login credentials.

8. Intellectual Property

The Service, its software, designs, trademarks, and generated report formatting are owned by Iconic Arts Ltd. or its licensors. These Terms do not grant you any right to use our trademarks or other brand elements without prior written permission.

9. Disclaimers

The analysis, insights, and recommendations provided by IP-IQ are generated using artificial intelligence and are for informational purposes only. They do not constitute legal, financial, investment, tax, or professional advice. You should independently verify any output before relying on it for business or legal decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Iconic Arts Ltd. and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Iconic Arts Ltd. and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ceases immediately; provisions that reasonably should survive termination will remain in effect.

13. Changes to Terms

We may update these Terms from time to time. The most current version will be posted on this page with the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Iconic Arts Ltd. is established, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of that jurisdiction.
